Voluntary announcement: Adcock Ingram disposes of 53% interest
in Ayrton Drug Manufacturing Limited, Ghana
Shareholders are advised that, at the announcement of the
Company´s financial results for the year ended 30 June 2016,
it was noted that Adcock Ingram had concluded a share purchase
agreement with Dannex Limited ("Dannex"), in terms of which
the Company agreed to dispose of 53% of its interest in Ayrton
Drug Manufacturing Limited ("Ayrton") to
Dannex("Transaction").
The Transaction was subject to approval by the Ghana
Securities and Exchange Commission ("Commission") and an
application by Dannex to the Commission on 8 August 2016
sought to exempt Dannex from making a general offer to all
remaining Ayton shareholders.
The Commission subsequently granted Dannex approval to proceed
with the Transaction, subject to the fulfilment of certain
conditions. Adcock Ingram is pleased to announce that Dannex
has since complied with all the conditions precedent and the
Transaction closed on 30 November 2016. The Company has
concluded a voting pool agreement with Dannex, in relation to
the 25.1% interest Adcock Ingram retains in Ayrton.
